TERMS OF SERVICE

IMPORTANT NOTE

These Terms of Service are provided as a general template for Gymify’s website and services. They are not legal advice. Replace placeholders and have a lawyer review if needed.

1. WHO WE ARE

   Gymify Pty Ltd (“Gymify”, “we”, “us”, “our”) provides a fitness technology platform that includes a mobile application for gym members and online tools for gyms (including a partner portal).

2. ABOUT THESE TERMS

   These Terms of Service (“Terms”) apply to your access to and use of Gymify’s website, mobile applications, and related services (together, the “Services”).

   By using the Services, you agree to these Terms.

   If you do not agree, do not use the Services.

3. WHO THE SERVICES ARE FOR

   Gym members (“Members”) can use the Services to manage their membership, view membership status, and check in at participating gyms.

   Gyms and fitness businesses (“Gyms”) can use the Services to manage gym details, complete onboarding steps, and view visit logs and payout-related information.

4. ACCOUNTS AND ACCURATE INFORMATION

   You may need to create an account to use parts of the Services.

   You agree to provide accurate information and keep it up to date.

   You are responsible for maintaining the confidentiality of your login details and for activity on your account.

5. MEMBERSHIPS, PAYMENTS, AND BILLING

   Membership plans and pricing

   Membership plans, pricing, and billing intervals are presented in the app or other user interface at the time you select a plan.

Payment processing

Payments are processed by third-party payment processors (for example, Stripe). Gymify does not store raw card details.

Billing and renewals

If you purchase a subscription membership, it may renew automatically until cancelled, as described in the purchase flow.

Failed payments and membership state

If a payment fails, your membership may be paused, suspended, or otherwise restricted until payment is successfully completed, consistent with the membership rules described in the app.

6. CANCELLATIONS

   Members can cancel their membership through the app or as otherwise made available in the Services.

   When you cancel, you may retain access until the end of the current billing period, depending on the plan terms shown at the time of purchase.

7. REFUNDS

   Refunds (if any) are handled according to the rules shown at the time of purchase and applicable consumer law.

   If you believe you were charged in error, contact support at support@gymify.com.au.

8. WALLET PASSES AND CHECK-INS

   Gymify may provide an Apple Wallet or Google Wallet pass to support check-ins at participating gyms.

   Check-ins may be validated online and may also support offline queueing and later synchronisation depending on the gym setup and device conditions.

   You must not attempt to misuse check-in features, share passes in ways that violate gym rules, or circumvent membership or visit rules.

9. GYM PARTNER PORTAL AND STRIPE CONNECT

   Gyms may be required to complete onboarding steps to receive payouts (for example, Stripe Connect onboarding).

   Third-party services (such as Stripe) may apply their own terms, verification requirements, and payout timelines.

   Gymify may display payout-related information and visit logs for transparency, but Gymify does not guarantee specific payout amounts or timing if a third-party provider delays or blocks payouts.

10. ACCEPTABLE USE

    You agree not to:

    Use the Services for unlawful purposes.

    Attempt to gain unauthorised access to systems or data.

    Reverse engineer, scrape, or disrupt the Services.

    Upload or transmit malware or harmful code.

    Use the Services to harass, abuse, or harm others.

11. INTELLECTUAL PROPERTY

    Gymify and its licensors own the Services, software, branding, and content, except for content you provide.

    You may use the Services only as permitted by these Terms.

12. USER CONTENT (IF APPLICABLE)

    If you submit content to the Services (for example, profile details), you grant Gymify a licence to use it to operate and provide the Services.

    You are responsible for ensuring you have the right to submit that content.

13. SERVICE AVAILABILITY AND CHANGES

    We may update, change, suspend, or discontinue parts of the Services at any time.

    We may also update these Terms. If we do, we will update the “Last updated” date.

14. DISCLAIMERS

    The Services are provided “as is” and “as available”.

    To the extent permitted by law, Gymify does not make warranties that the Services will be uninterrupted, error-free, or meet every requirement.

15. LIMITATION OF LIABILITY

    To the extent permitted by law, Gymify is not liable for indirect, incidental, special, consequential, or punitive damages.

    To the extent permitted by law, Gymify’s total liability for any claim relating to the Services is limited to the amount you paid to Gymify for the Services in the 12 months before the event giving rise to the claim, or AUD $100 if you have not paid anything, whichever is greater.

Nothing in these Terms excludes consumer guarantees that cannot be excluded under Australian Consumer Law.

16. INDEMNITY

    To the extent permitted by law, you agree to indemnify Gymify from claims arising out of your misuse of the Services or your breach of these Terms.

17. GOVERNING LAW

    These Terms are governed by the laws of Australia and the applicable state/territory laws where Gymify is based.

    If Gymify is based in Sydney, this is typically New South Wales, Australia.
